1. Acceptance of Terms

By accessing and using the TOP50 Companies Thailand website and all associated services (collectively, the "Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms of Use or any part thereof, you must not use our Service. Your continued use of the Service following the posting of changes to these terms means you accept those changes.

2. Use License and Restrictions

Subject to compliance with these Terms of Use, WorkVenture grants you a non-exclusive, non-transferable, revocable license to access and use the TOP50 Companies Thailand website for personal, non-commercial purposes only. This license does not permit you to:

• Modify, copy, duplicate, adapt, or create derivative works based on the materials or content
• Use the materials for any commercial purpose or for any public display without explicit written permission
• Attempt to reverse engineer, decompile, or discover any software, source code, or underlying algorithms
• Remove, obscure, or alter any copyright, trademark, or other proprietary notations or labels
• Scrape, crawl, or automatically collect data using robots, spiders, or other automated tools
• Republish, redistribute, or resell the content, rankings, or research data
• Bypass or circumvent any security features, authentication mechanisms, or access controls
• Introduce viruses, malware, or other harmful code to the platform

3. Survey Participation and User Conduct

When participating in our surveys, voting, or submitting information:

• You agree to provide accurate, truthful, and complete information
• You understand that survey responses are confidential and used only for generating rankings and insights
• You acknowledge that you may vote or participate only once per survey period per individual
• You agree not to manipulate, falsify, or attempt to influence rankings through fraudulent voting or false information
• You will not use multiple accounts or enlist others to vote multiple times on your behalf
• You understand that engagement with the survey is voluntary and you may withdraw participation at any time
• You agree not to share survey links or access credentials to artificially inflate participation or skew results

4. Intellectual Property Rights

The Service, including all original content, research data, rankings, methodologies, features, functionality, designs, graphics, text, images, videos, and code are owned by WorkVenture Technologies Co., Ltd. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. The TOP50 brand, logo, and methodology are proprietary to WorkVenture and cannot be used without express written permission.

By submitting content to the Service (including survey responses, comments, or photos), you grant WorkVenture a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content for the purpose of providing and improving the Service.

5. Ranking Methodology and Accuracy

The TOP50 rankings are determined based on quantitative survey data from young professionals (ages 22-35) working in Thailand. While we take great care to ensure accuracy and fairness, we:

• Do not warrant that rankings are 100% accurate or complete
• May adjust or restate rankings based on data verification or methodology improvements
• Reserve the right to exclude companies for fraudulent survey participation or manipulation
• Do not endorse or warrant the accuracy of company-provided information displayed on the website
• Are not liable for rankings differences due to time delays in data collection or processing

6. Disclaimer of Warranties

THE SERVICE AND ALL MATERIALS, CONTENT, AND INFORMATION ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WORKVENTURE SPECIFICALLY DISCLAIMS ALL OTHER WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WorkVenture does not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We make no warranty regarding the accuracy, completeness, timeliness, or reliability of any information or data displayed on the website.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WORKVENTURE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR OTHER DAMAGES (INCLUDING LOSS OF DATA, REVENUE, PROFITS, OR BUSINESS INTERRUPTION) ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WORKVENTURE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL WORKVENTURE'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESS TO THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

8. Data Collection and Privacy

Survey responses and personal information collected through our platform are used in accordance with our Privacy Policy. By participating in surveys, you consent to the collection and processing of your data as described in our Privacy Policy. All survey data is handled confidentially and used solely for the purpose of determining rankings and generating insights about workplace trends in Thailand.

9. Third-Party Links and Content

The Service may contain links to third-party websites, resources, and content. WorkVenture has not reviewed all such sites and is not responsible for their content, accuracy, or practices. The inclusion of any link does not imply endorsement by WorkVenture. Your use of third-party websites is entirely at your own risk and subject to their own terms and conditions.

10. Modifications to Terms and Service

WorkVenture reserves the right to modify these Terms of Use at any time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the updated terms. Additionally, WorkVenture may modify, suspend, or discontinue the Service or any portion thereof at any time, with or without notice.

11. Indemnification

You agree to indemnify, defend, and hold harmless WorkVenture, its officers, directors, employees, agents, and suppliers from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms of Use; (c) your violation of any applicable law or regulation; or (d) any content you submit or transmit through the Service.

12. Governing Law and Dispute Resolution

These Terms of Use are governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to its conflict of law principles. You irrevocably agree to submit to the exclusive jurisdiction of the courts located in Bangkok, Thailand, and waive any right to dispute jurisdiction or venue in such forums.

13. Severability

If any provision of these Terms of Use is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14. Entire Agreement

These Terms of Use, together with our Privacy Policy and any other policies posted on the website, constitute the entire agreement between you and WorkVenture regarding the use of the Service and supersede all prior or contemporaneous communications, agreements, and proposals, whether oral, written, or electronic.
